2. Acceptance of Terms
By engaging our legal services, accessing our website, or communicating with our firm, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our services or website.
These terms supplement any separate engagement letter or service agreement we enter into with you. In case of conflict between these general terms and a specific engagement letter, the engagement letter shall prevail.
3. Eligibility
Our services are available to individuals and organizations who are 18 years of age or older and have the legal capacity to enter into binding contracts. By engaging our services, you represent that you meet these eligibility requirements and that all information you provide is accurate and complete.
4. Services Description
Firmitas Law provides legal services in the following practice areas:
- Intellectual Property Protection: Trademark, copyright, and patent services including registration, monitoring, and enforcement.
- Employment Law Advisory: Development of employment contracts, workplace policies, and guidance on labor compliance matters.
- Corporate Governance Framework: Development of board procedures, reporting practices, and decision-making frameworks.
The scope of services for each engagement will be defined in a separate engagement letter specifying deliverables, timelines, and fees. Services are subject to availability and may be declined at our discretion.
5. Client Responsibilities
When engaging our services, you agree to:
- Provide accurate, complete, and timely information relevant to your legal matter
- Respond promptly to our requests for information or documentation
- Pay fees and expenses in accordance with agreed terms
- Inform us promptly of any changes affecting your matter
- Make decisions regarding your legal matter after receiving our advice
- Maintain confidentiality of privileged communications
6. Professional Relationship
An attorney-client relationship is established only through a written engagement letter signed by both parties. Preliminary consultations, website inquiries, or informal communications do not create an attorney-client relationship or impose any confidentiality obligations on our part.
We reserve the right to decline representation for any reason, including conflicts of interest, capacity constraints, or if we determine that we cannot provide effective assistance for your particular matter.
7. Fees and Payment
Our legal services are provided for fees as specified in engagement letters or service agreements. Fee structures may include:
- Fixed Fees: Specified amounts for defined services, as offered for our core service packages
- Hourly Rates: Time-based billing for services where scope cannot be predetermined
- Retainer Arrangements: Advance payment for anticipated services, credited against work performed
Payment terms will be specified in your engagement letter. Invoices are typically due within 30 days of issuance. Late payments may incur interest charges as permitted by law. We reserve the right to suspend services for overdue accounts.
All fees are quoted in Malaysian Ringgit (RM) unless otherwise specified.
8. Intellectual Property Rights
All materials, documents, and work product created by Firmitas Law in providing services remain our intellectual property until fees are paid in full. Upon full payment, you receive a license to use the work product for its intended purpose.
Our firm name, logo, website content, and proprietary materials are protected by intellectual property laws and may not be used without our written permission.
9. Confidentiality
We maintain strict confidentiality regarding client matters as required by legal professional standards and Malaysian law. Information about your legal matters will not be disclosed to third parties except:
- With your explicit consent
- When required by law or court order
- When necessary to provide the legal services you have engaged
- To protect our legal rights in disputes regarding fees or professional conduct

10. Disclaimers and Limitations
No Guarantees of Outcomes
Legal matters involve uncertainties and factors beyond our control. While we provide professional services to the applicable standard of care, we cannot offer assurances regarding specific outcomes, approvals, or results.

12. Termination
Client Termination
You may terminate our services at any time by providing written notice. You remain responsible for fees for work performed up to the termination date.
Firm Termination
We may terminate our services upon reasonable notice in circumstances including non-payment of fees, failure to cooperate, conflicts of interest, or professional conduct concerns. We will take reasonable steps to protect your interests during any transition.
Post-Termination
Upon termination, we will provide your file materials upon request and payment of outstanding fees. Our confidentiality obligations continue after termination.
13. Dispute Resolution
Governing Law
These Terms and Conditions are governed by the laws of Malaysia. Any disputes shall be subject to the exclusive jurisdiction of the Malaysian courts.
Informal Resolution
Before pursuing formal proceedings, we encourage clients to contact us to discuss concerns and explore resolution options.
Professional Complaints
Complaints about professional conduct may also be directed to the Malaysian Bar Council in accordance with applicable professional regulations.
14. General Provisions
Entire Agreement
These Terms and Conditions, together with any engagement letter, constitute the entire agreement between parties regarding our services, superseding prior communications or understandings.
Severability
If any provision of these terms is found unenforceable, the remaining provisions continue in full effect.
Waiver
Our failure to enforce any provision does not constitute a waiver of that provision or any other right.
Assignment
You may not assign your rights or obligations under these terms without our written consent. We may assign our rights and obligations with notice to you.
15. Changes to Terms

Engagement letters signed prior to term changes remain subject to the terms in effect at the time of signing unless mutually agreed otherwise.
